Terms of Service

4.1. Ownership of Software

FinRiskAI and Third Party Suppliers retain title and ownership to the FinRiskAI Software and all copyright and intellectual property rights. Your receipt of the Service does not constitute a sale of the FinRiskAI Software. You agree not to alter, decompile, or disassemble the FinRiskAI Software.

4.2. Proprietary Rights

FinRiskAI and Information Providers have proprietary rights in their respective trademarks, service marks, trade names, and in the Information that originates from them. You agree not to infringe upon these rights or alter, remove, or obscure any copyright notices.

4.3. Third Party Beneficiaries

Information Providers have the right to enforce the terms of this Agreement and are specifically intended to be third-party beneficiaries.

5.1. Authorized Use of Information

You may use the Information solely in accordance with this Agreement. You agree not to:

• Retransmit or reprocess Information in whole or in part
• Transmit, divulge, or publish the Information to any Person
• Create financial instruments or investment products based on any index published by FinRiskAI's suppliers without a separate written agreement

5.2. Account Security

You are responsible for:

• Maintaining the confidentiality of your password
• Immediately notifying FinRiskAI of any unauthorized use of your account
• All usage and activity on your account, including use by authorized third parties
• Deleting all cookies and software files obtained through the Service if you transfer your computer system

5.3. Subscriber Information

You must provide accurate information as requested by FinRiskAI or the Information Providers. Failure to promptly provide requested information shall result in termination of access to the Service.

You are solely responsible for all the Subscriber Information you provide. You certify that all Subscriber Information you provide is accurate. You represent and warrant that you own all your Subscriber Information, or you have all rights that are necessary to grant us the license rights in your Subscriber Information under these Terms of Use. You also represent and warrant that neither your Subscriber Information, nor your use and provision of your Subscriber Information to be made available through the Service will infringe, misappropriate, or violate a third party's intellectual property rights, or rights of publicity or privacy, or result in the violation of any applicable law or regulation.

You also agree to maintain and update your Subscriber Information as necessary so that it remains accurate and current. In the event that any Subscriber Information you provide is inaccurate or not up to date, FinRiskAI reserves the right to cancel your subscription. We reserve the right to refuse or discontinue supplying the Service to any Person at any time at our sole discretion.

5.4. Account Sharing Prohibition

You may not share your FinRiskAI username and/or password with any third party. FinRiskAI reserves the right to limit access to one user at a time and to cancel or deny access to any subscriber who shares their account.

5.5. Subscriber Code of Conduct

Access to our Service is intended for individuals who are 18 and older. Any access or use of our website by anyone under 18 is unauthorized and in violation of these Terms of Use. You may use the Service for lawful purposes only. You agree not to post, upload, email, transmit, distribute, or make available through the Service any:

• Material that violates applicable laws
• Material that restricts other users from using the Service
• Material that is unlawful, threatening, abusive, defamatory, obscene, or indecent
• Material containing viruses or harmful components
• Material that violates others' rights
• Material with other harmful or illegal components

5.6. Compliance with Laws

You represent that you are not engaged in unlawful transactions or business and agree not to use the Information or Service for any:

• Purpose not authorized by this Agreement
• Unlawful purpose or manner not compliant with applicable laws

6.1. Subscription Fees

Subscription fees are set forth on FinRiskAI's website and may be amended at FinRiskAI's discretion. Fees are payable monthly or annually in advance.

6.2. Payment Methods

Credit card payment is accepted for monthly and annual subscriptions.

6.3. Automatic Payments

BY PLACING YOUR ORDER, YOU PROVIDE YOUR ELECTRONIC AUTHORIZATION FOR THE INITIAL PERIOD CHARGE AND FUTURE PERIOD CHARGES EQUAL TO $x PER PERIOD AGAINST YOUR CREDIT CARD ON FILE UNLESS YOU CANCEL. You may cancel at any time. Cancellation will take effect as of the first day of the next billing period. You will not receive a refund for notifying FinRiskAI of cancellation during any period for which you have already paid a subscription fee.

7.1. Term

The term of this Agreement commences on the date FinRiskAI accepts your executed Agreement or when you click "Agree," and continues until the end of your selected subscription term ("Initial Term"). Thereafter, the Term automatically renews for successive periods ("Renewal Term") unless either party provides written notice of termination at least thirty (30) days before a Renewal Term begins.

7.2. Default by Subscriber

If FinRiskAI determines that you are not in compliance with this Agreement, your representations are untrue, or a bankruptcy petition or similar proceeding is filed by or against you, FinRiskAI may immediately terminate this Agreement without notice or pursue other available remedies.

7.3. Default by FinRiskAI

If FinRiskAI breaches this Agreement and such breach continues unremedied for fifteen (15) days after written notice, you may terminate this Agreement or pursue other available remedies, provided that FinRiskAI shall not be considered in default if it is diligently pursuing remedial action.

7.4. Consents to Contact You and Consent to Use Features of the Service

User Contact: You expressly consent to be contacted by FinRiskAI, and its affiliates or authorized agents for any purpose, at a telephone number or mailing or electronic address you provide. You also consent to receive push notifications related to important updates, account activity or transactions, to receive products or Service offers and targeted offers. We may encrypt communications that we send to you. You may disable or block the notification service by toggling the operating system settings on your device. You agree that FinRiskAI, its affiliates, or agents can contact you in any manner, including pre-recorded artificial voice or automatic telephone dialing system. You agree that all consents provided in this Section will survive cancellation of our Online Services. We may also store your communications with us. You can revoke your consent by contacting us at support@finriskai.com.

Camera and Photo Gallery: You agree that you must consent to use your camera to upload documents to our Service as required by us or requested by you. In addition, you understand and acknowledge that express consent is required if you choose to select files from your devices, pictures, or photos, from the photo gallery on your devices to upload to our Service.

8.1. No Endorsement

Neither FinRiskAI nor any part of the Service is sponsored or endorsed by any Information Provider. Links to third-party websites are provided for convenience only and do not imply endorsement.

8.2. No Investment Advice

The Information and Services are for informational purposes only and should not be construed as investment advice or recommendations. You acknowledge that any decisions made in reliance upon the Information are at your own risk.

8.3. No Warranties

FinRiskAI provides the Service and Information as promptly and accurately as reasonably practicable, but MAKES NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

8.4. Limitation of Liability

Neither FinRiskAI nor the Information Providers shall be liable for errors, inaccuracies, omissions, delays, interruptions, or any Claims or Losses arising therefrom.

UNDER NO CIRCUMSTANCES SHALL FinRiskAI OR INFORMATION PROVIDERS BE LIABLE FOR INDIRECT, PUNITIVE, SPECIAL, CONSEQUENTIAL OR INCIDENTAL DAMAGES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Maximum liability is limited to:

• If you continue receiving Information: a month's credit of any monies paid
• If you no longer receive Information: a refund of monies due for the period at issue

8.5. Indemnification

You shall indemnify FinRiskAI, Information Providers and their respective officers, directors, partners, employees, and agents against Claims or Losses resulting from your non-compliance with this Agreement or breach of your representations.

8.6. Force Majeure

Neither party shall be liable for delays or failures due to circumstances beyond reasonable control, including acts of God, government actions, war, terrorism, natural disasters, utility failures, labor disputes, or equipment failures.

9.1. Assignment

This Agreement binds the parties and their permitted successors and assigns. You may not assign this Agreement without FinRiskAI's prior written consent. FinRiskAI may assign this Agreement to an affiliate, subsidiary, or surviving entity in a merger or asset sale.

9.2. Amendment

FinRiskAI reserves the right to change the terms of this Agreement without notice. No amendment is binding on FinRiskAI unless executed by an authorized officer.

9.3. Waiver and Good Faith

No failure to exercise rights under this Agreement constitutes a waiver. The parties shall act in good faith and promptly in granting or denying consents.

9.4. Entire Agreement

This Agreement constitutes the entire agreement between the parties regarding its subject matter and supersedes all prior communications.

9.5. Severability

Any provision that becomes illegal, invalid, or unenforceable shall be severed without affecting remaining provisions.
